Article 1: Company name and registrered office: INSTITUTE: I.I.S.S Volta-De Gemmis Miny company name: Newtecnology Article 2: Business purpose Newtecnology will use the sale of tecnological products that aim to respect the environment. Article 3: Objectives The "Newtecnology" was created within the educational project "students lab" with the eminently didactic purpose that will allow its members to: -know and put into practice the valus ef equity and solidarity; -make democratic decisions; -menage a project in a cooperative way; -learn to pratice by forming a company; -have a first contact with the creation and menagement of the company; -promote our company. The "Newtecnology" not legally costitued,however,must be registered in the Register of Companies and will be administered according to the operating rules of a real company: -promote the participation of workers' members. Article 4: Accession The members of the company are the students and professors who promote the creation of the company and request its membership in the Regisster of Companies.Each member must make a capital contribution. This contribution allow partners to commit themselves to achieve the company's objectives and to comply with the rules of operation. Article 5: Share Capital The capital of the company consists of all the contributions paid by the members. To acquire the status of "member2 each participant mus contribute wit a quota of a €5,00. The ownership of the contribution is not trasferable,moreover,the initial contribution is a necessary but not sufficient condition,to guarentee its return or the distribution of the surplus. The repayment of the share capital is made at the and of the course, once all the debts incurred by the company have been satisfied. Article 6: Partner rights The charter status guarantees the following rights: -participate in the company's comporate purpose; -be a voter and beneficiary of social security contributions; -participate with voice and vote in the adotion of the agreements and general assembly and of all th social organizations of witch they are part; -obtain information on any aspect of the company's progress; -participate in proportion to the work developed in the company. Article 7: General assembly In addition to the ordinary convocations of the company's assembly, a further general meeting is called at the end of the course, on a date established by the company it self. The call will be sent to all partners at least a week before and will contain the afenda of the works. in the final assembly, the company presents a report to thr audience that audience that will include the financial statements.The assembly will have to approve the distribution of 15% of the profits obtained (if any) as a donation which will also determine which group activity to perform with the remaining parte of the accumulated profits. Article 8: Meetings Ordinary meetings will be held every week. Extraordinary meetings can be convened when the company membrers deem it appropraite. The validity of the meeting will be guaranteed by the presence of 50% +1 of the membrers. Article 9: Duration of the activity The company is considered an activity from the moment in which it will be required to register with the Bussiness Registrario and will and its activities at the and of the scottish year.
